Brown-Forman Corporate and Commercial Paralegal, Europe (Possible 80%FTE) in Amsterdam, Netherlands

Overview:

This position supports the VP, Assistant General Counsel, Europe by providing general paralegal support, as well as overseeing corporate maintenance matters for Brown-Forman Corporation’s European subsidiaries, and assisting with commercial contract drafting and marketing compliance review. This position will be based in Amsterdam.

Position Functions:

General Paralegal Support. Assist the VP, Assistant General Counsel, Europe with the administration of the legal function and service delivery in Europe. Email review and response, filing and scheduling are part of the role. The position would assist with the preparation of correspondence, memos, and presentations, as well as the coordination and tracking of training delivery.

Corporate Maintenance. Brown-Forman Corporation has 25+ corporate subsidiaries in Europe. The Corporate and Commercial Paralegal, Europe would keep corporate minute books, draft resolutions and powers of attorney, and oversee the timely filing of annual financial statements and other required reports. In addition, the position would draft and track various intercompany agreements and arrangements. The position would work closely with the Company’s international tax and accounting and treasury departments.

Marketing Compliance. This position would be trained in the Company’s marketing compliance guidelines, beverage alcohol industry codes, and applicable laws and regulations, in order to be able to evaluate branded communications. Marketing compliance review includes the evaluation of copy and imagery across print, videography and digital media for both required and prohibited content. In time, the marketing compliance function would include the drafting and review of marketing agency agreements, non-disclosure agreements, and the terms and conditions of certain promotional activities and contests.

Principal Tasks and Duties:

 Drafting correspondence, memos, and presentations as required.

 Organization and maintenance of the corporate minute books for the Company’s Europe-based subsidiaries.

 Drafting resolutions, powers of attorney and intercompany agreements as needed, as well as tracking these agreements for renewal, revision, etc.

 Developing a calendar to make sure required corporate maintenance such as annual meetings and reporting is undertaken in a timely and complete manner.

 Assessment of branded communications and promotional activity against applicable laws and industry codes.

 Monitoring and reporting on developments in applicable laws and regulations.

 Drafting, revising and tracking commercial agreements as needed.

Requirements:

 Paralegal degree or equivalent experience.

 Experience with corporate recordkeeping, governance, and maintenance of corporate minute books.

 Experience drafting corporate resolutions, powers of attorney, memos and basic commercial documents.

 Experience with general corporate legal matters and commercial contracts.

 Demonstrated capability to undertake substantive legal or quasi-legal tasks requiring the exercise of judgment, evaluation, analysis and risk assessment.

 Strong oral and written communication skills - ability to clearly relay sensitive information and give direction and guidance.

 Demonstrated ability to work independently and execute responsibilities with planning and organization in a high volume, deadline oriented environment; ability to perform work with accuracy and attention to detail amidst frequent interruptions.

 Demonstrated self-starter with a high level of initiative to make independent judgments.

 Willingness to assimilate into a cooperative and collaborative environment.

 Written and spoken English language fluency. Additional languages preferred.

 Excellent Microsoft Word, Excel and Powerpoint skills.

 Proficient with Google suite of applications.
