Brown-Forman Paralegal - LAR/ IMEA/ GTR in Louisville, Kentucky

This position supports the VP, Associate General Counsel - LAR/ IMEA/ GTR by providing general corporate and commercial legal support to Brown-Forman Corporation’s business in the LAR and IMEA regions and to its Global Travel Retail (GTR) business. This position is based in Louisville, KY USA.

Position Functions:

General Paralegal Support. Assist the VP, Associate General Counsel - LAR/ IMEA/ GTR with the administration of the business partnership and service delivery in LAR/ IMEA/ GTR. The role requires regular:

  • Email review and response;

  • Legal research and reporting;

  • Attending client meetings and participating on project teams (ex, route-to-consumer (RTC) changes, establishment of new entities, etc.);

  • Maintaining electronic records for corporate and commercial legal documentation;

  • Preparation of correspondence, memos and presentations;

  • Coordinating and managing external legal support as needed.

Commercial. Support the commercial teams by providing legal advice and support related to the distribution of the Company’s beverage alcohol product portfolio in LAR/ IMEA/ GTR. Tasks generally include:

  • Tracking third-party distribution agreements and communicating with internal stakeholders (ex. country managers, supply chain managers and local teams) on pending expirations to ensure timely action;

  • Drafting and reviewing distribution agreements, amendments, termination notices, and other RTC documentation for third-party distribution markets;

  • Participation in RTC project teams and providing legal support;

  • Drafting and reviewing non-disclosure agreements, other commercial agreements;

  • Coordinating and managing external legal support as needed.

Compliance. Contribute to compliance-related processes, procedures and controls. Tasks include:

  • Close cooperation with compliance team to support compliance screening of all vendors and third-party distributors in LAR/ IMEA/ GTR;

  • Provide legal support for risk assessment analyses;

  • Prepare training presentations.

Corporate Maintenance. Brown-Forman Corporation has 8+ corporate subsidiaries in the LAR and IMEA region. The following are included within the role’s scope:

  • Keep corporate minute books, draft and review resolutions and powers of attorney;

  • Coordinate with local and regional accounting to ensure the timely approval and filing of local entity annual financial statements and other required reports;

  • Work with tax, accounting and treasury departments and with local teams for addressing ad hoc requests (ex, inter-company loans, dividends, capital contributions);

  • Participate in corporate structuring projects (new entity establishment, etc.)

  • Coordinate and manage external legal support as needed.

Principal Tasks and Duties:

  • Drafting correspondence, memos and presentations, as required.

  • Organization and maintenance of the electronic corporate minute books for the Company’s LAR and IMEA-based subsidiaries.

  • Organization and maintenance of LAR/ IMEA/ GTR Legal electronic filing system.

  • Drafting resolutions, powers of attorney and intercompany agreements as needed, as well as tracking these agreements for renewal, revision, etc.

  • Developing a calendar to make sure required corporate maintenance such as annual meetings and reporting is undertaken in a timely and complete manner.

  • Drafting and review of distribution agreements, amendments, renewals and termination.

  • Drafting, revising and tracking commercial agreements as needed.

Requirements :

  • Paralegal degree or equivalent experience.

  • Experience with corporate recordkeeping, governance, and maintenance of corporate minute books.

  • Experience drafting corporate resolutions, powers of attorney, memos and basic commercial documents.

  • Experience with general corporate legal matters and commercial contracts.

  • Demonstrated capability to undertake substantive legal or quasi-legal tasks requiring the exercise of judgment, evaluation, analysis and risk assessment.

  • Strong oral and written communication skills - ability to clearly relay sensitive information and give direction and guidance.

  • Demonstrated ability to work independently and execute responsibilities with planning and organization in a high volume, deadline-oriented environment; ability to perform work with accuracy and attention to detail amidst frequent interruptions.

  • Demonstrated self-starter with a high level of initiative to make independent judgments.

  • Willingness to assimilate into a cooperative and collaborative environment.

  • Willingness to travel, if needed.

  • Written and spoken English language fluency. Additional languages preferred: ex, Spanish, Portuguese.

  • Excellent Microsoft Word, Excel and Powerpoint skills.

  • Proficient with Google suite of applications.
